How a Free Agency project is capitalized, and the order in which money comes back.
Free Agency Media sits between the people who make the work and the people who fund it. Every project is structured on its own terms, but the sequence below is the same one we run each time, so an investor knows where they stand before a dollar moves.
Material is written, attached, and budgeted. Soft costs are carried in house so the project reaches an investor already packaged rather than as an idea.
Equity, gap, tax incentives, and pre-sales are assembled into a single structure with one set of documents, so a participant is not negotiating against the other sources.
Invested capital is returned in priority, ahead of any producer fee or company share, before the project is considered to have earned anything.
Once capital is whole, remaining proceeds are shared between the investment side and the production side on the split agreed for that project and written into its operating agreement.

Born and raised in Los Angeles, Merced Bacon has spent more than twenty years moving between the booth, the set, and the deal.
His career began as a member of Anotha Level, signed early to Priority Records with executive production by Ice Cube. That first run opened the door to a longer ambition, filmmaking, which led him to the film program at Los Angeles City College, and then to several years of study at the Sanford Meisner School of Acting in North Hollywood.
The move paid off. He worked steadily in national commercials, most notably the Miller Lite “Catfight” campaign, alongside independent film (Menace), voice-over and loop group work (8 Mile, Ice Princess), and television, including BET's Boss'n Up with Snoop Dogg.
Determined to build behind the camera as well as in front of it, he transferred to UC Irvine to sharpen his film theory and production craft. There his short film Blind Spot took People's Choice and Best Technical Sound, and he was selected as an executive producer, allocating the budget and leading a team of fifteen filmmakers through a sixteen-minute short from pre-production to exhibition.
His feature documentary Casa Del Sol, which he produced and co-directed, was accepted into the Newport Beach Film Festival. He produced Music Made Me Do It, a feature-length documentary tracing the history of hip-hop, and worked production on a reflective short connected to Nate Parker's Birth of a Nation. He is currently developing The Remnant Project.
He continues to record as Ced Twice, with over 100 registered ASCAP compositions, the 2021 remaster of “Built for This,” the Free Agent (Season 1) project produced by Bootie Brown of The Pharcyde, and the seven-track EP Emeritus. Free Agency Media is the structure he built to hold all of it under one roof.
Away from the work, he can usually be found on the sidelines supporting his daughter Simone's flag football and soccer teams at California Lutheran University.
